About the Meeting

PMI-DHC is a chartered chapter of PMI and must abide with the tenet of the global body bearing in mind the local laws and legislation. PMI-DHC is incorporated under the Canada Not-for-profit Corporations Act (NFP Act) and governed by the Ontario Not-For-Profit Corporations Act (ONCA), therefore, must be guided by by-laws. The by-laws which are set of rules help to steer the affairs of the chapter and to make decisions.

They are reviewed as required to ensure it meets the needs of the members, the organization, and governing jurisdiction requirements. The current version of the by-laws approved by members were published on June 27, 2019. To align with ONCA legislation that was enacted on October 19, 2021, the existing by-laws review was initiated to comply within the three (3) years moratorium giving to transition and ensure the by-laws and articles of incorporation align accordingly.

The new and proposed 2023 by-laws document has been reviewed by PMI Global, PMI DHC Legal Counsel, and unanimously approved by the PMI DHC Board of Directors on March 29, 2023.

Summary of Changes

To facilitate the review of the proposed 2023 by-laws, the main changes are captured below:

  • Alignment of DHC fiscal (was Oct 31) and operational (was June 30) year. The new fiscal/operational year is September 1 to August 31.
  • Reduction of term duration from three (3) to two (2) years.
  • Clarification of Director and Officer eligibility rules as it relates to attendance.
  • Changes to include ONCA requirements and ensure legislation compliance, including but not limited to:
  • Clarity around voting means and remove of reference to proxy voting as the chapter is not equipped to manage such type of voting.
  • Clarification of the notification period to members of the meetings of the membership.
  • Alignment of quorum definition and by-laws amendments.
  • General Membership provisions including “Just Cause” clarity.
  • Declaration of Director position vacancy.
  • Management of PMI-DHC finance.

By-laws approval process and timeline

In the spirit of transparency, the Board invites you to register and attend a complimentary virtual Special Members’ Meeting to answer your questions and walk you through the amendment journey to make an informed decision on the proposed updates to the by-laws. This optional meeting is for those who require more information than what was published, therefore, it is not mandatory.

Questions may be submitted no later than 72 hours ahead of the Special Members’ Meeting directly to Omotayo Omoteso, Director Governance at [email protected]. Questions will be answered before or during the Special Members’ Meeting.
